Web Wiz Hosting Services Terms and Conditions
Where the context admits: 'We', 'Us', 'Our', 'Web Wiz' includes Web Wiz Ltd. or any party acting on Web Wiz Ltd.'s implicit instructions. 'You' includes the person purchasing the services or any party acting on the customer's instructions. 'The Registrant' includes the person applying for a domain name or any party acting on the Registrant's instructions. 'The Registry' means the relevant domain names registry. 'Server' means the computer server equipment operated by us in connection with the provision of the Services. 'Website' means the area on the Server allocated by us to you for use by you as a site on the Internet. 'Network' means the computer equipment owned and operated by us. A 'business day' is Monday to Friday, 08:00 to 16:00 GMT/BST and excludes public (bank) holidays in England and Wales.
In consideration of the mutual covenants herein, the parties agree to the following, which shall apply during the term of this Agreement.
Web Wiz supplies services strictly on a business-to-business basis. By using our services, you confirm you are acting in the course of business and not as a consumer.
1. Domain Name Registration
1.1 Web Wiz makes no representation that the domain name you wish to register is capable of being registered by or for you, or that it will be registered in your name. You should not assume registration of your requested domain name(s) until you have been notified that it or they have been registered. Any action taken by you before such notification is at your own risk.
1.2 The registration and use of your domain name is subject to the terms and conditions of use applied by the relevant naming authority. You shall ensure that you are aware of those terms and conditions and that you comply with them.
1.3 You shall have no right to bring any claim against us in respect of any refusal to register a domain name by the relevant registration authority.
1.4 Any administration charge paid by you to us is non-refundable, even if the Registry refuses to register your desired domain name.
1.5 We shall have no liability in respect of your use of any domain name. Any dispute between you and any third party must be resolved between the parties concerned. If any such dispute arises, we shall be entitled, at our discretion and without giving any reason, to withhold, suspend, or cancel the domain name. We shall also be entitled to make representations to the relevant Registry but shall not be obliged to take part in any such dispute.
1.6 We shall not release any domain to another provider unless full payment for that domain has been received by us.
1.7 We shall not release any domain to another provider within the first 60 days of registration, transfer, or renewal. The Admin Contact Email Address may also be set to our own during this time.
1.8 Web Wiz will endeavour to automatically renew domain names when they are due for renewal, subject to the following:
1.8.1 You have up-to-date and valid payment details stored.
1.8.2 You have not disabled the domain auto-renewal feature and the domain is not pending transfer.
1.9 If auto-renewal is enabled for a domain, you acknowledge that Web Wiz may take payment for renewal up to 8 days in advance of the renewal date.
1.10 The renewal of .eu and .de domain name registrations must be explicitly made by the 14th day before the expiration date. After this date, .eu domains cannot be renewed. Web Wiz cannot be held liable if you fail to renew in accordance with this requirement.
1.11 Following the expiration date, a domain name may enter a Grace Period and/or Redemption Period.
1.12 Redemption fees may apply to renew domain name registrations that are not renewed before the expiration date.
1.13 Web Wiz cannot be held liable for any losses incurred as a result of failure to complete or renew the registration of a domain name.
1.14 If Web Wiz does not receive the renewal fee within the grace period, the agreement for that domain name will terminate immediately and without liability.
1.15 If Web Wiz does not receive the renewal fee within the grace period, you acknowledge that Web Wiz may change the contact details of the domain name and auction the domain name.
1.16 Registration and renewal fees for domain names are non-refundable once submitted to the relevant registration authority.
2. Hosting, Databases, Email Services, Hyper-V and Dedicated Servers
2.1 Web Wiz provides web page hosting services. Web Wiz reserves the right to suspend or cancel a customer's access to any or all services when Web Wiz decides that the account has been inappropriately used or otherwise breached these Terms.
2.2 Web Wiz makes no representation and gives no warranty as to the accuracy or quality of information received via the Servers and shall have no liability for any loss of or damage to data stored on our Servers.
2.3 You shall maintain adequate insurance cover in respect of any loss of or damage to data stored on the Server.
2.4 You must not upload or store any material forbidden under our Acceptable Use Policy.
2.5 You shall keep secure all identification, passwords, and other confidential information relating to your account and shall notify us immediately of any known or suspected unauthorised use or breach of security.
2.6 You shall observe the procedures we prescribe and shall not use the Server in any way detrimental to our other customers.
2.7 You shall ensure that all email is sent in accordance with applicable legislation and in a secure manner.
2.8 You shall ensure that all web applications and scripts that send email are adequately protected from malicious abuse.
2.9 Web Wiz Forums Hosting Plans are for the exclusive hosting of Web Wiz Forums only.
2.10 You shall not install or run VPN services on the Web Wiz network without written permission.
2.11 SQL Server Web Edition may only be used to support public-facing websites, web applications, or web services. It may not be used for internal line‑of‑business applications such as CRM or ERP systems.
2.12 You warrant that the Services are being obtained and used solely in the course of business. Where the Services are accessed by employees, contractors, or other authorised users, you warrant that all such users are at least 18 years of age and that you are fully responsible for their use of the Services.
2.13 Any access to other networks connected to Web Wiz must comply with the rules applicable to those networks.
2.14 Your data may be accessed by Web Wiz when deemed necessary, including for support, service levels, or investigation of suspected breaches.
2.15 Web Wiz reserves the right to remove any file on the Server believed to be non-compliant with these Terms or the Acceptable Use Policy.
2.16 While we use reasonable endeavours to ensure Server integrity and security, we do not guarantee the Server will be free from unauthorised users or hackers.
2.17 Web Wiz cannot guarantee the integrity of backup data or that we will be able to recover all or any data in the event of data loss.
2.18 We may assign temporary IP addresses to your Service. These remain the property of Web Wiz and may be changed at any time.
2.19 If your Service includes backups, deleted data may remain in backup systems for up to 30 days before being overwritten.
2.20 Migration services include the first hour free; thereafter charged at £44.95 + VAT per hour with your permission.
3. Email
3.1 Web Wiz does not authorise the use of its systems to transmit or distribute bulk email, whether opt-in or otherwise.
3.2 The use of our network to send unsolicited email (spam) is strictly forbidden.
3.3 You will keep mailbox passwords confidential and change them frequently using strong passwords.
3.4 We monitor our Mail Servers and email traffic passing through them as a whole, but not individual mailboxes.
3.5 Our Mail Servers have greylisting enabled to help prevent spam.
3.6 We monitor and run anti-spam software on inbound email and may reject email determined to be spam.
3.7 We monitor and run anti-spam software on outbound email and may mark or delete email determined to be spam.
3.8 We run anti-virus software on all email passing through our Mail Servers and may delete infected email.
3.9 You shall scan email to and from your systems for viruses. We cannot guarantee your email will be virus-free.
3.10 Email not downloaded locally may be deleted automatically after 90 days (Deleted folder) or 30 days (Junk folder).
3.11 Web Wiz has no obligation to monitor Email Services but may review or remove materials at its discretion.
3.12 If a mailbox or domain causes operational issues, we may remove or adjust it, or suspend email services.
3.13 You warrant that you will use the Email Services for lawful purposes.
3.14 Web Wiz may disable, terminate, or suspend services where bulk or unsolicited email is detected or suspected.
3.15 Nothing in these Terms grants any right to transmit email through our Services.
3.16 Unauthorised use of the Services for bulk or unsolicited email may result in civil, criminal, or administrative penalties.
4. Resellers
4.1 All accounts other than designated Reseller Accounts are to be used only by the primary owner.
4.2 Resellers remain bound by these Terms and must ensure their customers are bound by equivalent terms.
4.3 You shall not incur or purport to incur liability on our behalf.
4.4 Customer defaults do not affect your obligations to Web Wiz.
4.5 You may sell our services under your own brand for direct use by your clients only.
4.6 We do not provide technical support to your customers.
5. High Resource User Policy
5.1 Resources include bandwidth, processor utilisation, disk space, and database usage. Web Wiz may suspend a service immediately if usage is abnormally high.
5.2 Web Wiz may limit support time for customers taking unfair advantage of support resources.
6. Web Wiz Forums Licence Grant
6.1 Customers receiving an installed Premium Edition of Web Wiz Forums may use it only for the term of their Hosting Package and only on Web Wiz systems.
7. Service Availability
7.1 Web Wiz shall use reasonable endeavours to make the Servers and Services available at all times but shall not be liable for interruptions or downtime.
7.2 Web Wiz may suspend Services at any time and for any reason. If suspension lasts more than 7 days, we will notify you where practicable.
8. Payment
8.1 All charges payable by you for the Services shall be in accordance with the scale of charges and rates published from time to time on our website and shall be due and payable in advance of the provision of Services.
8.2 Web Wiz reserves the right to change pricing at any time, although pricing is guaranteed for the period of any existing pre-payment.
8.3 Payment is due each anniversary month, quarter, or year following the date the Services were established, until closure notice is given at least 3 business days before the service renewal date.
8.4 All payments must be in UK Pounds Sterling, Euros, or US Dollars and made online using the payment systems provided by Web Wiz. Payments can only be made by a valid credit or debit card (or other payment methods we may expressly accept).
8.5 All payment notifications are delivered electronically via email and are available in your Customer Client Area account. You are responsible for checking receipt of all payment notifications and invoices. No hard copies will be sent by post.
8.6 Payments are taken directly from the credit/debit card or other registered payment method following delivery of your payment notification and are non-refundable, except as expressly provided in these Terms. If any automatic payment fails, the payment will be deemed overdue and immediately payable.
8.7 Your credit/debit card will be registered as a payment method against your account when you:
8.7.1 sign up for services with Web Wiz.
8.7.2 make a card payment to Web Wiz.
8.7.3 register your card details in your Customer Client Area account.
8.8 You authorise Web Wiz to take payments from any credit/debit card or other registered payment method associated with your account. You can view and update your registered payment method through your Customer Client Area account.
8.9 If any outstanding sum remains unpaid for 28 days or more, a late payment fee of £10.00 plus VAT may be applied at Web Wiz's discretion. This fee is intended to cover additional costs arising from outstanding payments or service suspension.
8.10 If you wish to reactivate an account that has been deleted, a £45.00 + VAT charge will be applied upon account reactivation to cover administration costs.
8.11 If access to files, databases, or other content is required after an account has been deleted, account reactivation will be required.
8.12 Web Wiz reserves the right to pass your debt to a third-party debt recovery agent, and you accept liability for the recovery of our costs from you.
8.13 If you are on Pay-As-You-Go Shared Hosting, your monthly renewal payment will be generated 7 days before the renewal date. The renewal cost will be based on the highest usage for each resource since the previous renewal.
8.14 All charges are exclusive of VAT. Business customers are responsible for accounting for VAT under applicable rules (including any reverse-charge mechanism where relevant).
9. Setup Fees
9.1 Some Services may be offered with a Free Setup or Paid Setup option. The applicable setup option and fee (if any) will be stated at the time of ordering.
9.2 Where a Paid Setup option is selected, the setup fee is payable in advance at the time of ordering and is non-refundable once the Service has been provisioned.
9.3 Where a Free Setup option is selected for the following services, a minimum contract term of twelve (12) months applies:
- Dedicated Server
- Fully-Managed Dedicated Server
- Hosting plans that include a Fully-Managed Hyper-V Server (including Dedicated Windows Web Hosting)
9.4 Under clause 9.3:
9.4.1 Cancellation is permitted after completion of the initial 12-month term without penalty, subject to the cancellation process in Section 13.
9.4.2 Early cancellation before the end of the initial 12-month term is permitted only if you pay the standard setup fee that would have applied at signup.
9.5 Where a Free Setup option is selected for a Shared Hosting plan, no minimum contract term applies. You may cancel at any time without penalty, subject to the cancellation process in Section 13.
9.6 Where a Paid Setup option is selected for any hosting plan, no minimum contract term applies. You may cancel at any time without penalty, subject to the cancellation process in Section 13.
9.7 We reserve the right to amend setup fee amounts and availability of Free Setup or Paid Setup options at any time for new orders. Changes do not affect existing Services already provisioned under a prior setup arrangement.
10. Over-Usage Charges
10.1 For hosting services that include a specified bandwidth limit: if this limit is exceeded without prior agreement from Web Wiz, you will be billed at £9.95 + VAT for every 25,000 MB of bandwidth used in excess of your specified monthly limit.
10.2 For hosting services that include a specified disk space limit: if this limit is exceeded without prior agreement from Web Wiz, you will be billed at £9.95 + VAT for every 1,000 MB of disk space used in excess of your specified limit.
10.3 For hosting services that include a specified database disk space limit: if this limit is exceeded without prior agreement from Web Wiz, you will be billed at £9.95 + VAT for every 500 MB of database disk space used in excess of your specified limit.
11. Chargebacks
11.1 If you withdraw or reverse any payment made via bank transfer, credit card, or third-party payment method (a 'chargeback'), Web Wiz reserves the right to interrupt, suspend, or cancel your Services and/or apply a chargeback fee. Such action is without prejudice to Web Wiz's right to recover all outstanding sums from you and does not relieve you of your obligation to pay those sums in full.
12. Termination and Refunds
12.1 We shall be entitled to suspend the Services and terminate this Agreement immediately, without notice to you, if you:
12.1.1 Fail to pay any sums due to us when they fall due.
12.1.2 Break any of these Terms and Conditions, including the Acceptable Use Policy (AUP).
12.1.3 Are in breach of any licence agreement for software included with your Hosting Package.
12.1.4 Are a company and go into insolvent liquidation, administration, or enter into a voluntary arrangement with creditors.
12.2 Web Wiz is under no obligation to refund or pro-rate service fees unless our policies expressly provide otherwise. Any initiation fees, if applicable, are non-refundable.
12.3 Web Wiz reserves the right to suspend the Services and/or terminate this Agreement at any time and without notice. If the Agreement is cancelled by us (other than for your breach), you will be entitled to a pro-rata refund based on the remaining prepaid period.
12.4 Where payment has been made by credit or debit card, any refund will only be issued to the same card.
12.5 On termination or suspension of the Services, we may immediately stop access and delete all data stored on our Network.
12.6 Refunds may be given at management's discretion; administration fees may be deducted. Refunds will be issued within 30 days where approved.
13. Cancellation of Contract
13.1 Unless otherwise stated, you may cancel Services at any time using the Hosting Service Cancellation Form in your Client Area. Web Wiz will cancel the Services within three business days of receiving your request.
13.2 Cancellation requests will not be accepted by phone, email, live chat, or support tickets.
13.3 Minimum term commitments and setup-related conditions for Free Setup or Paid Setup options are set out in Section 9.
13.4 If you want all data erased immediately upon cancellation, you must explicitly request this. Otherwise, the service remains active until its next renewal date.
13.5 At the end of the provision of Services, data stored on live Servers will be erased. Backup data may remain for up to 30 days before being overwritten.
13.6 Consumer protection legislation does not apply, as services are provided exclusively to businesses.
14. Indemnity
14.1 You shall indemnify Web Wiz and its agents and hold us harmless from and against any breach by you of these Terms and any claim brought against us by a third party resulting from your use of the Services or Servers, including all claims, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal costs).
15. Limitation of Liability
15.1 Web Wiz shall not be liable for any loss or damage of any nature suffered by you arising out of or in connection with the Services, except where such liability cannot be excluded by law.
15.2 Web Wiz shall not be liable for any indirect or consequential loss, including but not limited to loss of business, revenue, profits, or data.
15.3 IN NO EVENT SHALL WEB WIZ'S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15.4 Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
16. Notices
16.1 Any notice to be given by either party to the other may be sent by email or postal mail to the address of the other party as appearing in the Customer Client Area or otherwise notified.
16.2 Notices sent by email shall be deemed received on the day of transmission. Notices sent by post shall be deemed received within 3 business days.
17. Support
17.1 Support is provided via the Web Wiz Support Portal and is available only to the account holder or authorised contacts.
17.2 Support does not include development work, debugging of customer code, or configuration of third-party applications unless expressly agreed.
17.3 Support is provided on a reasonable-effort basis and is subject to fair usage.
18. Security and Data Protection
18.1 You are responsible for ensuring that your data, applications, and systems are adequately protected against unauthorised access, malware, and other security risks.
18.2 Web Wiz shall take reasonable steps to maintain the security of its Network and infrastructure but does not guarantee absolute security.
18.3 You are responsible for compliance with all applicable data protection legislation, including ensuring that any personal data stored or processed using the Services is handled lawfully.
18.4 Web Wiz may access your data where necessary for support, maintenance, or investigation of suspected breaches of these Terms.
19. Force Majeure
19.1 Web Wiz shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, industrial disputes, power failures, or failures of third-party networks.
19.2 If a force majeure event continues for more than 30 days, either party may terminate the affected Services by written notice.
20. Governing Law
20.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
20.2 The parties submit to the exclusive jurisdiction of the courts of England and Wales.
21. General
21.1 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
21.2 Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
21.3 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or representations, whether oral or written.
21.4 Web Wiz may amend these Terms and Conditions at any time. Changes will be published on the Web Wiz website. Continued use of the Services constitutes acceptance of the amended Terms.
Web Wiz Ltd reserves the right to change these Terms and Conditions at any time.
Changes to the Terms and Conditions will be announced on the Web Wiz website.
Failure to receive notification of a change does not invalidate that change.
Current copies of the Terms and Conditions will be available on this page.
By accepting these Terms and Conditions and the accompanying Acceptable Use Policy,
you agree to be bound by the Terms and Conditions of this Agreement and any subsequent
agreement or policy applicable to the Services. Failure to carry out your obligations
under this Agreement may constitute a breach of contract and may lead to termination
of services provided by Web Wiz Ltd.
